Terms & Conditions
Please read these Terms and Conditions carefully before engaging Web Studio London for any services. By commissioning work from us, you agree to be bound by these terms. If you have any questions, please contact us before proceeding.
Important: These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("the Client") and Web Studio London, operated by Sehrish Sattar ("we", "us", "our"). By commissioning any services from Web Studio London — whether verbally, via email, WhatsApp, or by paying a deposit — you agree to these Terms in full.
Definitions
In these Terms, the following definitions apply:
- "Web Studio London" / "we" / "us" — the web design and development business operated by Sehrish Sattar, based in London, United Kingdom.
- "Client" / "you" — the individual, business, or organisation commissioning services from Web Studio London.
- "Project" — the specific work agreed between the Client and Web Studio London, as outlined in a quote or proposal.
- "Deliverables" — the final website, designs, code, content, or other outputs produced as part of the Project.
- "Content" — all text, images, videos, logos, brand assets, and other materials provided by the Client for use in the Project.
- "Deposit" — the upfront payment required to commence work, as specified in the quote.
- "Go-Live" — the date on which the completed website is made publicly accessible on the internet.
The Agreement
A binding contract is formed between you and Web Studio London when any of the following occur:
- You pay a deposit or any part of the agreed project fee
- You provide written confirmation (by email or message) that you wish to proceed
- We begin work on your project at your request
These Terms, together with any written quote, proposal, or scope of work provided to you, constitute the entire agreement between the parties. They supersede all previous discussions, representations, or agreements.
We reserve the right to update these Terms from time to time. The version in force at the time of your project commencement will apply to that project.
Our Services
Web Studio London provides the following services, subject to individual project agreements:
Bespoke website design tailored to your brand, goals, and audience. No templates.
Front-end and back-end development across WordPress, Shopify, Webflow, and custom platforms.
Online store design and development on Shopify, WooCommerce, and Magento.
On-page SEO, technical SEO, content strategy, and digital marketing campaigns.
Logo design, brand identity, colour systems, and visual guidelines.
Transformation of existing websites into modern, high-performing platforms.
The specific scope of services for your project will be defined in your written quote. Work outside the agreed scope may incur additional charges (see Section 8).
Quotations & Fees
All prices quoted by Web Studio London are in British Pounds (GBP) and exclude VAT unless stated otherwise.
- Quotes are valid for 30 days from the date of issue unless otherwise stated
- A quote represents our estimate based on the information provided at the time. Significant changes to project scope after a quote is accepted may result in revised pricing
- Prices are fixed for the agreed scope of work — we do not add hidden charges
- Any additional work requested beyond the original scope will be quoted separately and must be approved in writing before commencement
- Third-party costs (e.g. premium plugins, stock photography, domain registration, hosting fees) are not included in our design fees unless explicitly stated
No hidden costs: We will always inform you in advance if any aspect of your project is likely to incur costs beyond your agreed quote. You will never receive an unexpected invoice from Web Studio London.
Payment Terms
Standard Payment Structure
- 50% deposit — required before any work commences. No work will begin until the deposit is received and cleared.
- 50% final balance — due upon project completion, prior to Go-Live or transfer of files to the Client.
For larger projects, a milestone-based payment schedule may be agreed in writing prior to commencement.
Payment Methods
We accept payment by bank transfer (BACS) and credit/debit card. Payment details will be provided on your invoice.
Late Payment
- Invoices are due within 7 days of issue unless otherwise agreed in writing
- Overdue payments may be subject to interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
- We reserve the right to suspend work, withhold deliverables, or take down a live website if payment remains outstanding after 14 days of the due date
Non-Refundable Deposit
Please note: The deposit is non-refundable once work has commenced. This covers the time, planning, and initial design work invested in your project. If you cancel after work has started, you will not be entitled to a refund of the deposit, and you may owe additional fees for work completed beyond the deposit value.
Project Process
Our standard project process follows these stages:
- Discovery — we gather your requirements, brand assets, content, and goals
- Design — we produce an initial design concept for your review and approval
- Revisions — we refine the design based on your feedback (within the agreed number of revision rounds)
- Development — approved designs are built into a fully functioning website
- Review & testing — the completed site is reviewed, tested across devices, and approved by you
- Launch — the website goes live upon receipt of final payment and your written approval
Project timelines and specific deliverables at each stage will be outlined in your quote. Timelines are dependent on timely receipt of content, feedback, and payment from the Client (see Section 9).
Client Obligations
To enable us to deliver your project on time and to the highest standard, the Client agrees to:
- Provide all required content (text, images, logos, brand guidelines) in a timely manner and in a suitable format
- Provide clear, consolidated feedback at each review stage — not piecemeal or contradictory
- Respond to queries and requests within a reasonable timeframe (we recommend within 3 business days)
- Ensure that all content and materials provided to us do not infringe any third-party intellectual property rights
- Obtain all necessary licences, permissions, and consents for any content you supply to us
- Make payments on time in accordance with the agreed payment schedule
- Designate a single point of contact who has authority to approve decisions
Content delays: If the Client fails to provide content or feedback within 14 days of a request, we reserve the right to invoice for work completed to date, place the project on hold, or charge a restart fee to resume work.
Revisions & Changes
Our standard packages include a set number of revision rounds as specified in your quote. Revisions are defined as minor adjustments to an approved design — not fundamental redesigns or new concepts.
- Revision rounds must be provided as a single, consolidated set of feedback — not individually over multiple communications
- Additional revision rounds beyond those included will be charged at our standard hourly rate of £75 per hour
- Requests to change the fundamental direction or concept after approval of a design stage will be treated as new work and quoted accordingly
- Significant changes to the agreed scope of work (e.g. adding pages, features, or functionality not in the original quote) will require a written change request and may incur additional fees
Timelines & Delays
We are committed to delivering projects within the agreed timeframe. Estimated timelines are provided in good faith and are contingent on the Client fulfilling their obligations (see Section 7).
- Project timelines begin from the date the deposit is received and all required content is provided by the Client
- Delays caused by late content, feedback, or payment from the Client will extend the project timeline accordingly — Web Studio London will not be held responsible for such delays
- If a project is paused for more than 30 days due to Client inaction, a restart fee of up to 25% of the outstanding project value may apply
- We will notify you promptly if any delay on our part is anticipated
- Time-sensitive projects (e.g. 48-hour fast-track) require all content and materials to be provided at the time of booking. Failure to provide these on time may result in the fast-track timeline being voided
Intellectual Property
Ownership of Deliverables
Upon receipt of full and final payment, ownership of the final website design and custom code created specifically for your project transfers to you, the Client. Until full payment is received, all work remains the intellectual property of Web Studio London.
Our Tools, Frameworks & Prior Work
We retain ownership of all proprietary tools, frameworks, templates, code libraries, and processes used in delivering your project. The licence granted to you covers the final deliverables only — not our underlying tools or methodologies.
Third-Party Assets
Where third-party assets are used (e.g. licensed fonts, stock photography, WordPress themes, plugins, or Shopify apps), ownership and licensing terms are governed by those third parties. The Client is responsible for ensuring continued licences for any third-party assets after project completion.
Client-Supplied Content
You warrant that all content, images, text, trademarks, and other materials you supply to us are owned by you or that you have the right to use them. You indemnify Web Studio London against any claims arising from content you have provided.
Important: Ownership of all work transfers only upon receipt of full payment. We reserve the right to remove a live website from public access if the final balance remains unpaid after 14 days of the due date.
Third-Party Services & Platforms
Many projects involve third-party platforms, tools, and services (e.g. WordPress, Shopify, Webflow, WooCommerce, hosting providers, payment gateways). The following applies:
- Third-party platforms are subject to their own terms of service, pricing, and availability. We are not responsible for changes made by these platforms
- We are not liable for downtime, data loss, or issues caused by third-party hosting providers, platforms, or plugins
- Any costs associated with third-party services (hosting, domains, premium plugins, themes, apps) are the Client's responsibility unless explicitly included in our quote
- We recommend and assist with the setup of third-party services but cannot guarantee their continued availability, pricing, or performance
- Changes to third-party platforms (e.g. Shopify or WordPress updates) that require additional development work after project completion will be treated as new work and quoted separately
Hosting & Maintenance
Hosting
Where Web Studio London provides hosting as part of a package, the following applies:
- We aim to provide 99.9% uptime but cannot guarantee uninterrupted service
- Hosting fees are payable in advance on an annual basis
- We reserve the right to suspend hosting for non-payment
- Clients may migrate to alternative hosting at any time — we will provide reasonable assistance with this
Maintenance
Unless a maintenance retainer is in place, ongoing support and updates to your website after Go-Live are not included in the project fee. Post-launch maintenance, updates, and changes will be quoted at our standard hourly rate of £75 per hour or as part of a monthly support package.
Security & Backups
We recommend all clients maintain regular backups of their website. While we take reasonable precautions, Web Studio London is not liable for data loss arising from security breaches, platform failures, or other technical issues beyond our control.
Limitation of Liability
To the fullest extent permitted by law, Web Studio London's total liability to the Client — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
Web Studio London shall not be liable for any:
- Loss of profits, revenue, or business
- Loss of data or corruption of data
- Loss of anticipated savings
- Loss of goodwill or reputation
- Indirect, consequential, or special loss of any kind
- Losses arising from third-party platform failures, hosting downtime, or security breaches outside our control
- Losses arising from the Client's failure to maintain adequate backups
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
Warranties
Our Warranties
Web Studio London warrants that:
- We have the right to enter into this agreement and provide the services described
- The deliverables will be our original work and will not, to our knowledge, infringe any third-party intellectual property rights
- We will deliver services with reasonable skill and care
SEO & Performance
No ranking guarantees: While every website we build includes foundational SEO as standard, we do not guarantee specific search engine rankings, traffic levels, or business results. Search engine algorithms are outside our control and results will vary. Any SEO projections or estimates we provide are indicative only and not contractually binding.
Browser & Device Compatibility
We build websites to be compatible with current, modern versions of major browsers (Chrome, Firefox, Safari, Edge) and to be responsive across common device sizes. We do not guarantee compatibility with outdated browsers or highly unusual device configurations.
Termination
Termination by the Client
You may cancel a project at any time by notifying us in writing. The following applies upon cancellation:
- The deposit is non-refundable in all circumstances once work has commenced
- You will be invoiced for all work completed up to the date of cancellation, calculated on a pro-rata basis at our standard day rate
- If work completed exceeds the deposit value, the outstanding balance is immediately due
- Ownership of any partially completed work remains with Web Studio London until all outstanding amounts are paid
Termination by Web Studio London
We reserve the right to terminate this agreement immediately and without liability if:
- The Client acts in a threatening, abusive, or unlawful manner towards us
- The Client requests us to produce content that is illegal, defamatory, discriminatory, or in violation of third-party rights
- Payment remains outstanding for more than 30 days after the due date
- The Client is in material breach of these Terms and fails to remedy the breach within 7 days of written notice
In the event of termination by us, you will be invoiced for all work completed to date and any outstanding balance will be immediately due.
Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the project. This includes business strategies, financial information, unreleased products, and client data.
Web Studio London will not disclose your confidential information to any third party without your prior written consent, except where required by law or regulation. This obligation survives the termination of the project.
Confidentiality does not apply to information that is already in the public domain, was independently developed, or was disclosed to us by a third party without restriction.
Portfolio & Credits
Unless you explicitly request otherwise in writing, Web Studio London reserves the right to:
- Include your completed website in our portfolio and case studies
- Reference your project in our marketing materials, social media, and client testimonials
- Include a small "Designed by Web Studio London" credit or link in the footer of your website
We will never disclose confidential business information in any portfolio or marketing material. If you prefer that your project not be featured publicly, please inform us in writing before project commencement and we will respect your request.
Governing Law & Disputes
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from these Terms or their subject matter.
Before pursuing formal legal action, both parties agree to attempt to resolve any dispute informally in good faith. Please contact us at hello@webstudiolondon.co.uk in the first instance.
Consumer rights: If you are a consumer (rather than a business), you may have additional rights under the Consumer Rights Act 2015 and other applicable UK consumer protection legislation. Nothing in these Terms affects those statutory rights.
